Frequently Asked Questions:

1.  What are GLC's governing documents?  GLC's governing documents consist of the Articles of Incorporation, Bylaws, Covenants and Restrictions, and Board resolutions and policies.  The Articles of Incorporation and Bylaws are under consideration for revision at this time.

2.  Why are GLC's governing documents revised?  GLC's governing documents are in desperate need of updating.  Most of GLC's governing documents are over forty years old.  In many areas they are out of compliance with state law.  Additionally, many areas of confusion and contradiction which have been identified over the years can be clarified with a revision. 

3.  How are the Articles of Incorporation amended?  In order to amend the Articles of Incorporation, we must obtain an affirmative vote from a 2/3 majority of the members voting at the annual meeting; not the total membership.  NOTICE: THIS IS AN IMPORTANT CHANGE FROM WHAT WAS PREVIOUSLY PUBLISHED ON THIS PAGE.

4.  How are the Bylaws amended?  In order to amend the Bylaws, we must obtain an affirmative vote from the majority of members voting at the annual meeting; not the majority of the total membership.

5.  How are the Covenants and Restrictions amended?  In order to amend the Covenants and Restrictions, we must obtain an affirmative vote from a 2/3 majority of the members; not a 2/3 majority that are voting at the annual meeting, but a 2/3 majority of the total membership.


The GLC Board of Directors, the GLC's attorney, GLC staff and members have been working for nearly two years on updating and revising the GLC govering documents.  After many work sessions, town hall meetings and multiple revisions, a final draft is ready and will be presented to the membership for their approval at the next Annual meeting in February, 2010.  This page will be dedicated to providing information and updates on the proposed revisions and the process for their appoval.

Recently there has been a flyer passed around Glenhaven and a notice posted on the Cain Lake Road sign urging members to "vote no on the Bylaw" revisions.  The issue appears to be that the procedure outlined in the revised Bylaws for approving the annual budget is objected to by certain individuals.  For the record, the budget voting procedures outlined in the proposed Bylaws is taken directly from the State RCW’s for Homeowner Associations which we operate under.  Read the statute below and remember to vote.

Board of directors — Standard of care — Restrictions — Budget — Removal from board.

(3) Within thirty days after adoption by the board of directors of any proposed regular or special budget of the association, the board shall set a date for a meeting of the owners to consider ratification of the budget not less than fourteen nor more than sixty days after mailing of the summary. Unless at that meeting the owners of a majority of the votes in the association are allocated or any larger percentage specified in the governing documents reject the budget, in person or by proxy, the budget is ratified, whether or not a quorum is present. In the event the proposed budget is rejected or the required notice is not given, the periodic budget last ratified by the owners shall be continued until such time as the owners ratify a subsequent budget proposed by the board of directors.
